Terms

These terms apply to the services and products supplied by Infinitly Consulting. Where a signed agreement with a client says something different, that agreement takes precedence over these terms.

Who we are

Infinitly Consulting is a trading style of InfinITLy IT & Law Consulting B.V., a private limited company established in the Netherlands, registered with the Dutch Chamber of Commerce under number 76512622 and holding VAT number NL860652555B01. Our registered address is on the contact page. Contracts are entered into by InfinITLy IT & Law Consulting B.V..

What we supply

We supply software engineering services on a project or ongoing basis, and access to our own software products by subscription or by metered API use. The scope of a service engagement is set out in a written quotation or statement of work. The scope of a product subscription is what is described on that product's own site at the time you subscribe.

Prices and payment

Prices are in euros and exclude VAT unless stated otherwise. VAT is charged where it is due. Product subscriptions are charged in advance for each billing period; service engagements are invoiced as agreed in the quotation, with payment due within 30 days of the invoice date.

Card payments are processed by Stripe. Charges appear on your statement under our company name. If an invoice is not paid on time we may suspend access after giving notice, and statutory interest and reasonable collection costs may be charged.

Cancellation and refunds

You may cancel a subscription at any time, effective at the end of the current billing period. Access continues until that period ends. We do not refund the unused part of a period that has already started, except where required by law or where we have failed to supply the service.

If something has gone wrong on our side, tell us. Email info@infinitly-consulting.com with the invoice number, and we will look at it and put right what should be put right.

Consumers in the EU have a statutory 14-day right of withdrawal on distance contracts. For digital services that start immediately with your express consent, that right ends once performance has begun. Our products are aimed at businesses, but where a consumer does buy from us this right applies.

Acceptable use

You may not use our products to break the law, to infringe someone else's rights, or to attack the availability or security of our systems or anyone else's. API access is subject to the published rate limits; systematically circumventing them, or reselling bulk access without a written agreement, is not permitted. We may suspend an account that does these things.

Data and source licences

Our data products combine sources that carry their own licence conditions. Access to a dataset through our platform does not transfer any right beyond what the underlying source licence permits. Where a source restricts redistribution, that restriction passes through to you.

Availability

We work to keep our products available and to correct faults promptly, but we do not guarantee uninterrupted service unless a service level agreement says so in writing. Planned maintenance is announced in advance where we reasonably can.

Intellectual property

Unless agreed otherwise in writing, we retain the intellectual property in our products, in our generic components and in the tools we use to build them. What we develop specifically for a client under a service engagement is governed by that engagement's agreement.

Liability

Our liability for a claim is limited to the amount invoiced for the service or subscription in the twelve months before the claim arose, and we are not liable for indirect or consequential loss such as lost profit or lost data. Nothing in these terms limits liability for intent, deliberate recklessness, or anything else that cannot be limited by law.

Governing law

Dutch law applies. Disputes are submitted to the competent court in the Netherlands, unless mandatory rules point elsewhere.

Changes

We may change these terms. For an existing subscription, a change takes effect at the next billing period and we tell you before it does. The date at the top shows the current version.
